Shenzhen-based Woer Heat-Shrinkable Material Co., Ltd. (WOER) has issued a notice convening its 2025 annual general meeting (AGM) for 2:00 p.m. on Tuesday, 26 May 2026 at the company’s industrial park in Pingshan District, Shenzhen.

Key resolutions to be tabled as ordinary business include:

• 2025 Annual Report & Results: Shareholders will review and approve the full-year report and financial statements for 2025.

• 2025 Profit Distribution Plan: Details will be presented at the meeting for shareholder endorsement.

• Board Work Report 2025: Directors will submit their performance review for the period.

• Director Remuneration 2026: The proposed compensation package for board members next year will be put to vote.

• Auditor Re-appointment 2026: The board seeks approval to re-engage the existing audit firm for the forthcoming fiscal year.

• Remuneration Management Policy: A revised framework covering directors and senior management awaits ratification.

• Shanghai Keter Public Offering & BSE Listing: The company proposes a public share offering and transfer of Shanghai Keter’s listing to the Beijing Stock Exchange.

• Guarantees to Subsidiaries: Management is requesting shareholder consent to provide guarantees for subsidiary financing needs.

Share register closure To determine voting eligibility, the H-share register will be closed from Wednesday, 20 May 2026 to Tuesday, 26 May 2026 (both days inclusive). Only holders recorded on 26 May 2026 may attend and vote. Investors must lodge share transfer documents with Computershare Hong Kong Investor Services by 4:30 p.m. on Tuesday, 19 May 2026.

Proxy submission Completed proxy forms, together with relevant authorization documents, must reach Computershare Hong Kong Investor Services no later than 2:00 p.m. on Monday, 25 May 2026.

Administrative notes The AGM will be conducted in Mandarin and is expected to last less than half a day. No gifts or securities will be distributed, and attendees will bear their own travel and accommodation costs.
