CICC Calls 2026 First H-Shareholders’ Class Meeting to Vote on Mergers with Dongxing Securities and Cinda Securities

China International Capital Corporation Limited (CICC) has circulated a proxy form for its 2026 First H Shareholders’ Class Meeting, scheduled for 3:00 p.m. on 8 June 2026 at Meeting Rooms 3004-3005, 30/F, China Life Finance Centre, Beijing.

The agenda centres on four special resolutions designed to advance CICC’s planned mergers with Dongxing Securities and Cinda Securities:

1. Approval of the comprehensive “Plan on the Proposed Mergers,” which outlines 16 clauses covering: • Identification of the three parties involved; • Merger approach, including share-exchange mechanics; • Class and par value of new CICC shares to be issued; • Share-exchange targets and record dates for Dongxing and Cinda shareholders; • Exchange price and ratio, aggregate number of new CICC shares to be issued, and their intended listing venue; • Arrangements for shareholders holding restricted shares, dissenting shareholders’ protection, creditor-debt settlement, asset transfer, employee placement, transitional-period management, and profit distribution; • Validity period of the resolutions.

2. Ratification of a conditional Merger Agreement that formalises the transaction terms among CICC, Dongxing Securities and Cinda Securities.

3. Authorisation for CICC’s Board of Directors—or its designated representatives—to handle all matters related to the mergers.

4. Granting the Board a specific mandate to issue new CICC A shares required for the share-exchange component of the mergers.

Shareholders may appoint the meeting chairman—or another authorised proxy—to vote on the resolutions. Completed proxy forms must reach CICC’s H-share registrar, Computershare Hong Kong Investor Services Limited, by 3:00 p.m. (Beijing time) on 7 June 2026.

Only holders of CICC’s H shares whose names appear on the register are entitled to vote, and joint holders may be represented solely by the first-named shareholder in the register.

The proposed mergers aim to consolidate CICC with Dongxing Securities and Cinda Securities, expanding CICC’s business footprint through share exchanges that will result in the issuance and listing of new CICC shares. The detailed protection mechanisms for dissenting shareholders and arrangements for employees, creditors and profit distribution are embedded in the resolutions to be tabled at the meeting.
