Redco Properties Group Limited will hold its 2026 annual general meeting at 2:00 p.m. on Friday, 26 June 2026, Room 4, 17/F, Edinburgh Tower, The Landmark, Hong Kong.
Key agenda items:
1. Financial Statements • Shareholders will vote to receive and adopt the audited financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.
2. Board Composition and Remuneration • Re-election of executive directors Mr. Wong Yeuk Hung JP and Mr. Tang Chengyong. • Re-election of independent non-executive director Dr. Tam Kam Kau GBS, SBS, JP. • Authorisation for the board to fix directors’ remuneration.
3. Auditor Appointment • Proposal to re-appoint ZSZH (HK) Fuson CPA Limited as auditor and authorise the board to determine its remuneration.
4. Share Issuance Mandate • Board seeks a general mandate to issue, allot or deal with additional shares and/or transferable treasury shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Authority would extend to making or granting offers, agreements and options during the mandate period.
5. Share Buy-back Mandate • Separate mandate to repurchase up to 10% of issued shares (excluding treasury shares) on the Stock Exchange or other recognised exchanges. • Directors state no immediate plans to exercise the buy-back authority.
6. Extension of Issuance Mandate • Conditional on approval of the above two mandates, the issuance limit may be increased by the number of shares bought back, capped at an additional 10% of issued shares.
7. Articles of Association • Special resolution to adopt a new amended and restated articles of association incorporating proposed amendments outlined in the 28 May 2026 circular.

• Shareholders recorded on 26 June 2026 are eligible to attend and vote. • Share transfer documents must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 22 June 2026. • All resolutions will be decided by poll.
