LC LOGISTIC-NEW (02490) announced that on December 30, 2025, its subsidiary Lehang Boundless entered into a 2025 Framework Agreement with Blue Anchor. Under this agreement, Lehang Boundless is to novate all its rights and obligations under the 2024 Shipbuilding Agreement to Blue Anchor, which will pay a total consideration of $170 million, of which $68.64 million is payable to Lehang Boundless. Pursuant to the 2025 Framework Agreement, on the same day, Lehang Boundless, Blue Anchor, China Shipbuilding Trading Co., Ltd., and Jiangnan Shipyard entered into a 2025 Novation Agreement. Through this agreement, Blue Anchor will replace Lehang Boundless as the buyer under the 2024 Shipbuilding Agreement and will assume all rights and obligations of Lehang Boundless thereunder. The vessel to be sold is a large container ship with hull number H2872 and a capacity of 14,000 TEU, which is currently under construction as anticipated under the 2024 Shipbuilding Agreement and is the subject of both the 2025 Framework Agreement and the 2025 Novation Agreement. The Group is an integrated cross-border marine logistics service provider in China. After considering the costs incurred by the Group for the construction of the vessel and the sale consideration, the Company believes the proposed transactions under the 2025 Framework Agreement and the 2025 Novation Agreement present an excellent opportunity to realize the vessel's value ahead of schedule and are expected to generate approximately $20.10 million in net income. This revenue will supplement the Group's cash flow, further enhance its financial stability, and bring substantial financial benefits to the Group.
