Chen Hsong Holdings Limited has scheduled its 2026 annual general meeting for 21 August 2026 at 11:30 a.m. on the 24th floor of Admiralty Centre I, Hong Kong.
Key resolutions to be tabled:
1. Financial Results and Dividend • Shareholders will receive and consider the audited financial statements for the year ended 31 March 2026. • A final dividend (amount not stated in the notice) is recommended by the Board; if approved, shareholders on the register as of 8 September 2026 will be entitled to the payout. The register will be closed from 4 to 8 September 2026 for dividend entitlement.
2. Board Composition and Remuneration • Independent non-executive directors Mr Harry Chi Hui and Mr Johnson Chin Kwang Tan are standing for re-election. • Directors’ fees for the year ending 31 March 2027 are proposed at a maximum aggregate of HK$2.00 million.
3. Auditor Re-appointment • Ernst & Young is nominated for re-appointment as external auditor, with remuneration to be set by the Board.
4. Share Repurchase Mandate • Directors seek a general mandate to repurchase up to 10% of the Company’s issued share capital (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the mandate period ending at the next AGM, earlier revocation, or statutory deadline.
5. Share Issuance Mandate • A separate mandate would authorise the Board to allot and issue new shares up to 10% of the existing issued share capital (excluding treasury shares), with flexibility to issue equity-linked instruments. • Conditional on both mandates passing, the issuance limit could be extended by the number of shares repurchased, effectively allowing issuance of up to an additional 10% of share capital.
Administrative details:
• Shareholders must be on the register by 17 August 2026 to vote at the AGM; the register will be closed from 18 to 21 August 2026. • Proxy forms must be lodged with Tricor Investor Services at least 48 hours before the meeting. • All resolutions will be decided by poll. • Contingency arrangements for severe weather or “extreme conditions” will be announced via the company and HKEX websites if required.
The Board currently comprises Executive Directors Ms Lai Yuen Chiang and Mr Stephen Hau Leung Chung, and Independent Non-executive Directors Mr Harry Chi Hui, Mr Clement King Man Kwok, Mr Anish Lalvani and Mr Johnson Chin Kwang Tan.
