COSCO SHIPPING Ports AGM Clears All Resolutions; Board Committees Re-aligned After INED Retirement

On 22 May 2026, COSCO SHIPPING Ports Limited announced that every ordinary resolution put forward at the Annual General Meeting was approved by poll, signaling broad shareholder endorsement of corporate and capital measures and confirming changes to board committee composition.

Shareholders representing 3.29 billion to 3.29 billion votes (99.60%–99.98% support) backed routine items such as the adoption of the 2025 financial statements, the authorisation of director remuneration for 2026 and the re-appointment of BDO Limited as auditor. Director re-elections also passed comfortably, with support ranging from 93.45% to 99.60%.

Capital measures received strong backing. The authorised share capital will rise from HK$400.00 million to HK$500.00 million, with 99.96% of votes in favour. A 20% general issuance mandate and a 10% share repurchase mandate were approved with 88.61% and 99.98% support, respectively, while the extension mandate for repurchased shares secured 90.64% approval.

Turnout figures show that the full 3.96 billion issued shares were eligible to vote, and no shareholder was required to abstain under Hong Kong Listing Rules. Tricor Investor Services Limited acted as the scrutineer.

Governance changes took effect at the close of the meeting. Independent non-executive director (INED) Adrian David Li Man Kiu retired, relinquishing his roles as chairman of the Audit Committee and Nomination Committee and membership of the Remuneration Committee. INED Lam Yiu Kin has been appointed chairman of both the Audit and Nomination Committees and joins the Remuneration Committee, while INED Yang Liang Yee Philip becomes a member of the Audit Committee.

The board expressed appreciation for Mr. Li’s contribution during his tenure.
