CA Cultural Technology completes internal control overhaul; consultant affirms adequacy, but trading halt persists

CA Cultural Technology Group Limited has released the findings of an extensive internal control review, detailing remedial actions taken after control weaknesses were identified across project management, revenue recognition and asset disposal processes. Despite the progress, the company’s Hong Kong–listed shares (stock code 01566) will remain suspended, as trading has been halted since 21 November 2024.

The review was conducted by Prism Hong Kong Limited over March–September 2025 and examined records dating back to August 2015. Focus areas included construction project management, asset disposals, design and consulting engagements, virtual-reality game development and impairment assessments. The consultant’s report, finalised on 24 March 2026, highlighted medium- and low-risk control gaps and issued targeted recommendations.

Key findings and actions:

1. Construction project management • Seven projects launched from 2019 lacked preserved board approvals and formal budget plans, undermining audit trails. • Six post-2016 contracts had no signing dates, and some post-2022 agreements omitted clauses governing the use of prepayments. • Payment documentation for six projects relied largely on bank slips, with insufficient supporting vouchers due to historical document loss. • Rapid, large prepayments in 2017–2018 were made without long-term planning or default-warning mechanisms. • Management responses include: updated Project and Contract Management Systems, mandatory archiving of approval records, formal budget plans, phased payment clauses, monthly tracking of prepayments and a new risk-warning framework. High-value prepayments (above HK$5 million or 30 % of contract value) now require enhanced scrutiny and, where needed, external expert opinions.

2. Revenue management • Three service and licensing contracts lacked clear links between delivery milestones and payment schedules, heightening credit risk. • Revised policies now enforce phased delivery tied to milestone payments and require upfront or instalment payments aligned with client credit profiles.

3. Fixed and intangible assets • Two fixed-asset and five intangible-asset disposals were executed without phased delivery or instalment payment terms, exposing the Group to capital-recovery risk. • New asset management rules mandate multi-phase delivery for disposals exceeding HK$200,000, with each phase contingent on receipt of corresponding payments.

Following a follow-up assessment, Prism confirmed that CA Cultural Technology has “properly and fully implemented” all recommended measures and now maintains “adequate and effective” internal controls consistent with Hong Kong Listing Rules. The internal review also found no breaches of Chapters 14 or 14A (notifiable and connected transactions).

Both the Independent Committee and the Board concur with the consultant’s conclusions and commit to continuous monitoring and enhancement of the control environment.

Trading status: Despite the remedial progress, the company’s shares will stay suspended on the Hong Kong Stock Exchange until further notice. Quarterly updates will continue in line with Listing Rule 13.24A, and shareholders are urged to exercise caution when dealing in the securities.
