HM International AGM Approves Full Slate of Resolutions; 20% Issuance and 10% Buy-Back Mandates Secured

HM International Holdings Limited reported that shareholders endorsed all six ordinary resolutions at the Annual General Meeting on 8 May 2026, with decisive majorities on each motion.

Key voting results • Audited 2025 accounts and related reports were received with 100% of the 213.67 million votes cast in favour.

• Executive directors Mr. Yu Chi Ming and Ms. Chan Wai Chung Caroline were re-elected, and the Board was authorised to fix directors’ remuneration; each item secured 100% support, equal to 213.67 million votes.

• HLB Hodgson Impey Cheng Limited was re-appointed as external auditor, also backed by 100% of votes.

Capital management authorities • A 10% share buy-back mandate garnered unanimous approval (213.67 million votes).

• A general mandate allowing the Board to issue up to 20% of issued shares received 213.62 million votes in favour (99.98%), with 50,000 votes against (0.02%).

• Conditional extension of the issuance mandate by the amount of shares repurchased passed with identical voting figures (99.98% for, 0.02% against).

Shareholder participation • Shares eligible to vote: 421.42 million. • Votes cast: 213.67 million, representing 50.72% of issued share capital. • No shares were required to abstain, and no treasury shares were outstanding. • Tricor Investor Services Limited acted as scrutineer for the poll.

The Board noted the strong shareholder endorsement of governance, audit continuity, and additional flexibility for capital management and fundraising activities.
