Best Pacific International Holdings Limited (Best Pacific) reported that its public float has decreased to 16.87%, below the 25% minimum stipulated by Hong Kong Listing Rule 13.32B(1).
The shortfall was triggered after FMR LLC and its controlled corporations acquired an additional 116,000 shares on 11 August 2026, raising their stake from 9.99% to 10.00% of issued share capital. Crossing the 10% threshold reclassified FMR LLC as a substantial shareholder and core connected person, rendering its entire 103.99 million-share holding ineligible for public-float calculation.
Updated Shareholding Snapshot (12 August 2026): • Mr. Lu Yuguang and associate: 640.50 million shares (61.59%) • FMR LLC and associates: 103.99 million shares (10.00%) • Ms. Zheng Tingting and associate: 78.29 million shares (7.52%) • Mr. Wu Shaolun and associate: 40.50 million shares (3.89%) • Mr. Chan Yiu Sing: 1.40 million shares (0.13%) • Public shareholders: 175.12 million shares (16.87%) • Total shares outstanding: 1.04 billion
To regain compliance, the Board is evaluating measures such as requesting FMR LLC to pare its interest below 10%. Management targets restoration of the public float to at least 25% by end-August 2026 and will release further updates as necessary.
The company advises shareholders and potential investors to exercise caution when trading its shares.
