CQRC BANK: President Sui Jun Resigns; Chairman Liu Xiaojun Takes Interim Helm and Revises Board Committees

Chongqing Rural Commercial Bank Co., Ltd. (CQRC BANK) announced that Executive Director and President Sui Jun resigned from all positions, effective 22 July 2026, citing job transfer. His departures include roles as Chief Compliance Officer, Chairman of the Board’s Risk Management Committee, Chairman of the Consumer Rights Protection Committee and Authorised Representative under Hong Kong Listing Rule 3.05.

Chairman and Executive Director Liu Xiaojun will serve as Acting President until a new candidate receives regulatory approval from the National Financial Regulatory Administration Chongqing Office. The temporary dual role deviates from Corporate Governance Code provision C.2.1, which recommends separation of chairman and chief executive functions; however, the Board stated that clearly defined responsibilities will maintain governance balance.

Board committee adjustments effective immediately: • Risk Management Committee – Liu Xiaojun appointed Chairman; Yuan Gang and Bi Qian remain members. • Consumer Rights Protection Committee – Liu Xiaojun appointed Chairman; Dong Bin and Lee Ming Hau remain members. Memberships of the Strategic Development, Audit, Nomination, Remuneration, Related Party Transaction Supervision, and Sannong Financial Services Committees remain unchanged.

In addition, Liu Xiaojun replaces Sui Jun as Authorised Representative and will jointly handle Stock Exchange communications with Leung Wing Han Sharon.

As of the announcement date, the Board comprises one executive director (Liu Xiaojun), three non-executive directors (Ma Bao, Dong Bin, Yuan Gang) and two independent non-executive directors (Lee Ming Hau, Bi Qian).
