Yangzijiang Financial Holding Ltd. (YF8) announced that all resolutions tabled at its fourth Annual General Meeting, held on Apr, 29 2026 in Singapore, were approved by poll.

Shareholders adopted the FY2025 audited financial statements, which recorded a 5.2 million Singapore dollars net loss after recognising 290.9 million Singapore dollars in credit-loss allowances against legacy China property exposures. Core profit before provisions was 92.2 million Singapore dollars, while the Group ended the year debt-free with 618.6 million Singapore dollars in cash.

The meeting authorised the payment of 194,174 Singapore dollars in directors’ fees and re-elected Executive Chairman Liu Hua and independent director Zhang Chengshuang. PricewaterhouseCoopers LLP was re-appointed as external auditor.

Shareholders renewed a mandate allowing directors to issue new shares up to 50 % of issued capital (20 % on a non-pro-rata basis) and approved the annual share purchase mandate permitting buybacks of up to 10 % of issued shares.

Management told investors that 15 %–20 % of non-performing loans had been recovered in the first four months of 2026 and confirmed plans to deploy up to RMB1 billion into high-yield listed equities in China and Singapore targeting returns of at least 4.5 % per annum. The Company’s 40 % dividend-payout policy remains in place, although no dividend was declared for FY2025 because of the reported loss.

Yangzijiang Financial is also pursuing a Capital Markets Services licence from the Monetary Authority of Singapore to develop a fee-based income stream and reiterated its long-term portfolio mix target of 40 % debt, 40 % equity and 20 % cash.
