Budweiser Brewing Company APAC Limited (1876) Announces New Annual Caps for Import Licenses with AB InBev

Budweiser Brewing Company APAC Limited (1876) has set new annual caps for fees payable under its existing import licenses with controlling shareholder Anheuser-Busch InBev (AB InBev). According to the announcement, the maximum aggregate fees payable for the sale of products to AB InBev have been set at USD220 million for the year ending 31 December 2026 and USD253 million for the year ending 31 December 2027.

Under the Importation Framework Agreement, members of Budweiser Brewing Company APAC Limited grant AB InBev exclusive licenses to import, sell, and distribute the Group’s products outside the Asia Pacific region, as well as non-exclusive licenses to advertise and promote both AB InBev products and the Group’s products abroad. The new annual caps were determined after considering historical transaction amounts and the projected excess production capacity available for exports.

As AB InBev is the Company’s controlling shareholder, these transactions constitute continuing connected transactions under Hong Kong’s Listing Rules. The Board, with interested directors abstaining from voting, views the arrangement as fair and reasonable, reflecting normal commercial terms. The revised caps are intended to maintain the Company’s capacity utilization and contribute to overall revenue through exports of both AB InBev products and the Group’s products.
