Wai Chi Holdings Company Limited disclosed on 5 June 2026 that its board will activate the general mandate granted at the 27 May 2026 annual general meeting to repurchase shares on The Stock Exchange of Hong Kong.
The mandate authorises buy-backs of up to 10% of the company’s issued share capital, representing a ceiling of 21.97 million shares. Under the newly approved plan, aggregate consideration will not exceed HK$20.00 million, and the repurchase price per share will be capped at 5% above the average closing price over the five trading days preceding each transaction.
Any repurchased shares will be held as treasury stock. Funding will come from Wai Chi’s existing cash resources, which the board believes are sufficient to maintain a solid financial position and support ongoing operations and growth.
The mandate remains effective until the earlier of the next annual general meeting, its statutory deadline, or a shareholder resolution altering or revoking the authority. No shares have been bought back under the mandate to date.
Management emphasised that execution of the programme will depend on market conditions and will be carried out in compliance with Hong Kong Listing Rules, the Takeovers Code and the Cayman Islands Companies Act. The company also committed to maintaining adequate public float and avoiding any obligation to make a mandatory general offer.
Shareholders and prospective investors were advised to exercise caution, as the timing, volume and price of any buy-backs remain at the board’s discretion.
