Oi Wah Pawnshop Credit Holdings Limited (Stock Code: 1319) released an announcement regarding the renewal and entering into of various tenancy agreements (the “Tenancy Agreements”), involving its subsidiaries Hing Wah Pawnshop Credit Limited, Wai Wah Pawnshop Credit Limited, and Oi Wah Pawnshop Credit Limited as tenants, and Kwan Chart (Holding) Company Limited, Chart Man Investments Limited, Kwan Chart Estate Company Limited, and Full Honour Corporation Limited as landlords. These entities are considered connected persons under Chapter 14A of the Listing Rules.

According to the announcement, Oi Wah Pawnshop Credit Limited extended the lease of Property I under Tenancy Agreement I from 1 February 2026 to 31 January 2027. Meanwhile, three other tenancy agreements (II, III, and IV) were signed on 31 May 2025 to lease Properties II, III, and IV for one-year terms. The Board indicated that these premises will support the operation of pawnshops and the head office within the Group.

The aggregated annual caps for the Tenancy Agreements are HK$3,385,000 for the year ending 28 February 2026 and HK$1,431,000 for the year ending 28 February 2027, covering respective rents and management fees. The rental terms were determined with reference to independent property valuations and prevailing market rates. Each individual agreement qualifies as de minimis under Rule 14A.76(1), but due to their similar nature and timing, they have been aggregated under Rule 14A.81 and are therefore subject to reporting, announcement, and annual review requirements, but exempt from circular and independent shareholders’ approval.

Directors not deemed to have a material interest in the transactions consider the terms to be normal commercial terms, fair and reasonable, and in the best interests of the company and its shareholders. Those with a potential conflict abstained from voting on the relevant resolutions.
