FE CONSORT INTL (00035) Subsidiary to Sell Plaza Damas Commercial Development Project for MYR 55 Million

FE CONSORT INTL (00035) announced that on December 22, 2025, its indirect wholly-owned subsidiary, Target Term Sdn. Bhd., entered into a sale and purchase agreement with Surplus Pact (MM2H) Sdn. Bhd. The seller conditionally agreed to sell, and the buyer conditionally agreed to purchase the assets for a total consideration of MYR 55 million (approximately HKD 105 million), subject to the terms and conditions of the agreement. As of the announcement date, the assets were wholly owned by the seller.

The assets comprise a commercial development project named Plaza Damas, located in Mukim Kuala Lumpur, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan Kuala Lumpur, Malaysia. The project includes: - 1,099 parking spaces on B1 and B2 floors of Plaza Damas Phase 1; - 589 parking spaces on P1A to P3A floors of Plaza Damas Phase 2; - Residential unit B-21-03 on the 21st floor of Waldorf and Windsor Tower Service Apartments, with a gross floor area of approximately 112 square meters, along with 414 parking spaces from the basement to the 5th floor; - Shop No. 48 on the 3rd floor of Dorchester of Plaza Damas, with a gross floor area of around 20 square meters, plus 62 parking spaces.

The board believes the transaction will enable the group to realize the value of these assets, recycle capital from the proceeds, enhance liquidity, and reduce the net debt-to-asset ratio. The deal aligns with the group's strategy of divesting non-core assets.
