Ta Yang Group Holdings Limited (1991) Announces Delay in Circular Dispatch and Revised Timetable

Ta Yang Group Holdings Limited (1991) has postponed the dispatch of its circular regarding the proposed Capital Reorganisation and the proposed Rights Issue. The company cites additional time needed to prepare and finalize the information. The dispatch date has changed from the originally planned 20 February 2026 to on or before 13 March 2026.

Following this delay, the expected timetable for the proposed Capital Reorganisation and proposed Rights Issue has been adjusted. According to the revised schedule, the Extraordinary General Meeting (EGM) is set to commence on 31 March 2026 at 11:00 a.m., with registration for attendance and voting closing on 25 March 2026. The effective date of the Capital Reorganisation is tentatively planned for 8 April 2026, after which share certificates can be exchanged until 13 May 2026.

In relation to the Rights Issue, the last day of dealings in shares on a cum-rights basis is scheduled for 8 April 2026, whereas ex-rights dealings will begin on 9 April 2026. The record date for determining entitlements to the Rights Issue is 17 April 2026. The latest time for acceptance and payment for both the Rights Shares and any excess applications is set for 4:00 p.m. on 5 May 2026. The results of the Rights Issue are due to be announced on 15 May 2026, with the dispatch of refund cheques (if applicable) and share certificates slated for 18 May 2026, and the fully-paid Rights Shares expected to commence dealing on 19 May 2026.

All dates provided are subject to the completion of relevant conditions. The company will announce any further changes if necessary.
