GLOBAL NEW MAT’s March Return Shows Stable Share Count, HKD1.00 Billion New Convertible Bond Outstanding

Global New Material International Holdings Limited (GLOBAL NEW MAT) submitted its Monthly Return for the period ended 31 March 2026, confirming a stable capital structure with no share issuances, cancellations or treasury share movements during the month.

Authorised and Issued Capital • Authorised share capital remained unchanged at 80.00 billion ordinary shares (par value: HKD0.10) amounting to HKD8.00 billion. • Issued share capital was steady at 1.25 billion shares, with no changes recorded in March.

Equity-Based Incentives • Post-IPO Share Option Scheme: No options were outstanding or exercised as at month-end. The scheme still allows for the future issuance of up to 116.27 million shares.

Convertible Instruments • RMB-denominated convertible bonds (issued 30 Dec 2022): RMB300 million outstanding, convertible at RMB7.60 per share, representing up to 43.82 million shares. • HKD-denominated convertible bonds (issued 6 Jan 2026): HKD1.00 billion outstanding, convertible at HKD10.19 per share, equivalent to 98.14 million shares. • No conversions were executed in March; the combined potential dilution from both tranches totals 141.96 million shares, or roughly 11.37% of current issued share capital if fully converted.

Public Float and Treasury Position • GLOBAL NEW MAT confirmed compliance with the Main Board’s 25% minimum public-float requirement. • The company held zero treasury shares at both the beginning and end of the month.

Overall, the March filing indicates unchanged equity capital while highlighting the latent dilution from HKD and RMB convertible bonds and the remaining option pool capacity.
