RICI HEALTH (01526) announced that Dr. Wang Yong has resigned from his positions as an independent non-executive director and a member of the company's audit committee, effective December 29, 2025, to devote more time to his other business commitments. The board of directors has announced the appointment of Mr. Tian Wenguo as an independent non-executive director of the company to fill the resulting casual vacancy, concurrently appointing him as a member of the audit committee, with both appointments effective from December 29, 2025. Consequently, in accordance with the company's second amended and restated memorandum and articles of association, Mr. Tian will hold office until the first general meeting of the company following his appointment, which will be the forthcoming annual general meeting, and will be eligible for re-election at that meeting. The board further announced that, following Dr. Wang's resignation from the audit committee and Mr. Tian's appointment to it, the audit committee will be composed of Ms. Huang Siying (Chairman), Mr. Jiang Peixing, and Mr. Tian, effective December 29, 2025.
