Greater Bay Area AI Computing Tech Co., Ltd. (GBA AI COMP) signed five subscription agreements on 29 June 2026 to place 23.62 million new shares under its existing general mandate. The new shares equal 1.51% of the current 1.56 billion issued shares and 1.49% of the enlarged share capital post-issue.
The subscription price is HK$11.75 per share, implying: • a 10.03% discount to the HK$13.06 average closing price over the previous five trading days; • an 18.40% discount to the HK$14.40 closing price on 29 June 2026.
Gross proceeds are expected to reach HK$277.54 million, with net proceeds of about HK$277.14 million after expenses, translating into a net issue price of HK$11.73 per share. Management plans to allocate roughly 85% of the funds to potential AI computing power cloud services projects and about 15% to daily operating expenses.

All subscribers are classified as independent third parties and have agreed to a six-month lock-up on the new shares. Completion is subject to customary conditions, including Hong Kong Stock Exchange listing approval. The subscription does not require separate shareholder approval, as it falls within the 20% general mandate approved on 17 June 2026, which still has 312.02 million shares unutilised.
Post-placement, the two largest existing shareholders—China Guangdong-Hong Kong Greater Bay Area Holdings Limited and Champion Road Group Limited—will see their stakes diluted from 26.58% to 26.18% and from 19.87% to 19.57%, respectively, while public float will slip from 53.55% to 52.75%.
Corporate updates • Website: Effective 30 June 2026, the company’s site will move from www.youngogroup.com to www.gba-aicloud.com. • Industry classification: From 29 June 2026, Hang Seng Indexes Company Limited reclassified the group under “Information Technology – Software & Services – Internet Services and Infrastructure.”
The board states that the placement will strengthen liquidity and broaden the shareholder base, though completion remains subject to fulfillment of all conditions precedent. Investors are advised to exercise caution when trading the shares.
