Beijing Saimo Technology Co., Ltd. (2571) announced the appointment of BOCI Trustee (Hong Kong) Limited (BOCI Trustee) under the 2025 H Share Award Trust Scheme. According to the announcement, the scheme aims to facilitate the acquisition and holding of H Shares for eligible participants. The board of the company, in line with relevant rules, entered into two trust deeds—Trust Deed I and Trust Deed II—thereby establishing separate trusts for different categories of eligible employees.

Under Trust Deed I, BOCI Trustee will hold the trust fund exclusively for non-core connected persons, and shares in this segment will be regarded as being 「in public hands.」 Under Trust Deed II, BOCI Trustee will hold the trust fund for core connected persons, causing these shares to be classified as not in public hands. Given that these beneficiaries are core connected persons, BOCI Trustee becomes an associate of connected persons under Rule 14A.12(1)(b) of the Listing Rules.

BOCI Trustee is a trust company registered under section 78(1) of the Trustee Ordinance (Chapter 29 of the Laws of Hong Kong). The announcement clarifies that the company will take appropriate measures to ensure continuous compliance with the relevant public float requirements and related regulations.
