BRETON Technology Co., Ltd. (the Company) has approved a proposal to implement full circulation for 32.28 million domestic unlisted shares, representing approximately 8.28% of its total issued share capital as at 26 May 2026.
The Board confirmed that, once all regulatory clearances are obtained, the designated domestic shares will be converted into H-shares and listed for trading on the Main Board of The Stock Exchange of Hong Kong. Required approvals include (i) filing with the China Securities Regulatory Commission (CSRC) and (ii) listing permission from Hong Kong Exchanges and Clearing Limited.
Under the Company’s Articles of Association, no additional general meeting is necessary for this conversion. As of the announcement date, the Company has not yet submitted the filing application to the CSRC, nor applied to the Stock Exchange for the conversion and listing. Implementation details remain under formulation.
Shareholders and potential investors are urged to exercise caution, as execution of the full-circulation programme is contingent on procedural approvals from the CSRC, the Stock Exchange and other relevant authorities.
