CIFI Holdings Group (00884) announced that, in accordance with the terms of the commitment letter and to complete and implement the proposed transaction (as defined in the September announcement), its wholly-owned subsidiary Spectron entered into a three-year prepaid call option and sale with swap transaction with LMR on December 12, 2025. The prepaid call option and sale with swap transaction collectively constitute the proposed transaction (as defined in the September announcement) and achieve the agreed commercial objectives outlined in the September announcement. LMR, a fund seeking capital appreciation and optimistic about the company's long-term prospects, has agreed to extend the term of the proposed transaction (as defined in the September announcement) under the prepaid call option from the originally proposed 364 days to three years.
