Keppel Pacific Oak US REIT Management Pte. Ltd., the manager of Keppel Pacific Oak US REIT, said Perpetual (Asia) Limited, in its capacity as trustee of the REIT, has entered into a facility agreement dated Jan, 06 2026 for a term loan facility of about US$37.5 million.

The new borrowing is expected to substantially cover the REIT’s refinancing requirements for 2026, provided no material adverse events occur.

Under the agreement, the loan must be fully repaid within 10 business days if any of the following occur: the REIT’s manager is replaced; Keppel Ltd. and related parties cease to own all shares of the manager; or Keppel Capital Investment Holdings Pte. Ltd. no longer holds at least 64,165,352 units in the REIT.

If such a mandatory prepayment event is triggered, facilities totaling roughly US$857.5 million could be affected. The manager confirmed that no mandatory prepayment event has occurred to date.
