SOFT INTL Sets 18 Jun 2026 AGM; Shareholders to Vote on FY2025 Results, Board Re-elections, Auditor Appointment and Share Mandates

Soft International Group Ltd (“SOFT INTL”) will convene its annual general meeting (AGM) on 18 June 2026 at 10:00 a.m. in Quanzhou Jinjiang, Fujian Province, China. Holders of the company’s ordinary shares of HK$0.0001 each are entitled to attend or vote by proxy, with proxy forms required to reach Tricor Investor Services Limited no later than 48 hours before the meeting.

Key resolutions to be tabled include:

• Financial Reporting: Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the reports of the directors and independent auditor.

• Board Composition: Re-election of Mr. Gao Yue as an executive director, and Ms. Leong Kai Weng Subrina and Mr. Wong Tai Wai David as independent non-executive directors.

• Directors’ Remuneration: Authorisation for the board to determine directors’ remuneration for the financial year ending 31 December 2026.

• Auditor Re-appointment: Re-appointment of Forvis Mazars CPA Limited as independent auditor for FY2026 and authorisation for the board to fix its remuneration.

• Capital Management: – General and unconditional mandate allowing the board to allot, issue and deal with additional shares, excluding any treasury shares. – General and unconditional mandate to buy back the company’s shares, excluding any treasury shares. – Extension of the share-issuance mandate by adding the number of shares repurchased under the buy-back mandate.

Shareholders may appoint one or more proxies, who need not be members of the company, to vote on their behalf. Identification documents will be required for entry to the AGM, and corporate representatives must present a board resolution authorising attendance.
