Yibin Bank Buys RMB16.00 Million Commercial Units from Connected Party to Bolster Presence in Yibin CAZ

Yibin Bank (02596) has signed a Sale and Purchase Contract with Yibin Cuiping District Liya Real Estate Development Co., Ltd., a subsidiary of Yibin Development Holding Group, to acquire two newly built street-front commercial units in Building 19 of the “Liya Hejin” project at No. 77 Jiuyuan Road, Wuliangye Avenue, Cuiping District, Yibin. The consideration is fixed at RMB16.00 million (tax inclusive).

The target property comprises 989.18 sq m of gross floor area across the first (502.17 sq m) and second (487.01 sq m) floors. An independent valuation by Sichuan Hualian Asset Appraisal dated 31 August 2025 valued the assets at RMB17.42 million, implying the agreed purchase price represents an 8.17% discount to appraised market value. The property’s carrying value stood at RMB12.97 million on 4 January 2026.

Payment will be settled in a single instalment within 10 working days after contract signing, issuance, and verification of a value-added tax invoice. Ownership handover occurs upon full payment. Failure by the seller to deliver within 30 days triggers a daily penalty of 0.01% of the consideration; delays exceeding 30 days give the bank the right to cancel the deal and claim a 10% penalty.

The seller is a connected party: Yibin Development indirectly controls 16.99% of Yibin Bank through its wholly owned Wuliangye Group. As the highest applicable percentage ratio for the transaction is above 0.1% but below 5%, the deal is classified as a connected transaction under Hong Kong Listing Rules and requires announcement and reporting only, without shareholder approval.

Management cites the property’s location—within Cuiping District’s planned Metropolitan Functional Core Area and Central Activities Zone, near Wuliangye Group’s East Gate, Five-Star Park and Oriental Wine Valley—as strategically important for servicing core corporate clients and attracting over 1,275 surrounding households and future “new urban residents.” Expected benefits include stronger deposit growth, enhanced customer access and improved market share.

The board, including independent non-executive directors, views the terms as fair and reasonable. Director Zhang Xin, concurrently employed by Wuliangye Group, abstained from voting; no other directors were required to abstain.
