Hong Kong-listed Tongcheng Travel Holdings Limited, through its wholly owned subsidiary eLong, Inc., announced that the voluntary general cash offer for all issued shares of Dida Inc. has crossed the 50% threshold and is now unconditional in all respects.

As at 4:30 p.m. on 5 August 2026, eLong had received valid acceptances for 530.96 million Dida shares, representing 51.74% of Dida’s issued share capital. The acceptances comprise: • 320.55 million shares covered by an irrevocable undertaking from 5brothers • 168.89 million shares under an undertaking from Leap Profit • 40.37 million shares from Smart Canvas Investment Limited • 1.16 million shares from Star Celestial Holdings Limited

Meeting the acceptance condition automatically satisfied all other conditions set out in the composite offer document, rendering the offer fully unconditional on 5 August 2026.

The cash offer remains open for acceptance until 4:00 p.m. on 21 August 2026, in accordance with Rules 15.1 and 15.3 of the Hong Kong Takeovers Code. Settlement of valid acceptances will be dispatched within seven business days after the later of (i) 5 August 2026 or (ii) the date on which all relevant documents are received by the receiving agent.

Of the 551.15 million shares originally subject to irrevocable undertakings (53.70% of Dida’s share capital), 20.18 million shares from NBNW Investment Limited have not yet been tendered. Apart from the shares referenced above, neither eLong nor its concert parties have acquired, agreed to acquire, borrowed or lent any other Dida securities during the offer period.
