Boyaa Interactive International Limited (BOYAA) will seek shareholder approval at its 2026 annual general meeting for an “Acquisition Mandate” authorising management to buy up to US$70 million in cryptocurrencies—primarily Bitcoin—over the next 12 months. The company intends to fund the purchases with idle operating cash, aiming to reinforce its strategic push into Web3 gaming and infrastructure.

Key mandate terms • Scope and size: Maximum aggregate consideration of US$70 million for open-market cryptocurrency purchases during the mandate period. • Duration: 12 months from the date shareholders pass the relevant resolutions. • Pricing discipline: Purchase prices may include a premium of up to 10% over prevailing market quotations. • Execution venues: Transactions will take place through licensed Hong Kong virtual-asset exchanges, including HashKey Exchange (Hash Blockchain Ltd.) and OSL Exchange (OSL Digital Securities Ltd.). • Governance: The board will decide timing, size and pricing of each trade within the mandate; seeking prior shareholder approval for every transaction is deemed impracticable given crypto-market volatility.

Strategic rationale According to the board, additional crypto holdings are essential to: 1. Support R&D and operations for BOYAA’s Web3 game ecosystem, including upgrades to existing titles and upcoming Web3 projects. 2. Provide staking collateral—estimated at 500–1,000 Bitcoins—for the Boyaa Network public blockchain slated for mid-2026 launch. 3. Sustain investments in Web3-related funds and game platforms such as MTT Sports and Gam3Girl Ventures Fund.

Existing crypto position As of 22 March 2026, BOYAA holds: • 4,092 Bitcoins (average purchase price: ~US$68,211) • 302 Ether (average purchase price: ~US$1,661) • 7.00 million Tether (USDT)

Regulatory classification • BOYAA’s 2025 Bitcoin purchases totalled US$80.51 million. • When aggregated with the proposed US$70 million mandate, the combined amount exceeds 25% of the company’s assets, classifying the plan as a “major transaction” under Hong Kong Listing Rule 14.22. • Consequently, the mandate requires shareholder approval and standard disclosure under Chapter 14 of the Listing Rules. A circular detailing the proposal is expected by 24 April 2026.
