ICO Group Limited will hold its 2026 annual general meeting on 28 August 2026 at 11:00 a.m. in Kwun Tong, Hong Kong. Key resolutions to be tabled include:
1. Capital Mandates • Issuance Mandate: Directors may allot and issue up to 175.52 million new shares, representing 20% of the 877.59 million shares in issue as at 20 July 2026. • Repurchase Mandate: Authority to buy back up to 87.76 million shares, or 10% of the current issued share capital. • Extension Mandate: Any shares repurchased can be added to the issuance limit.
2. Board Changes • Re-election of non-executive director Mr. Lee Siu Hang Foster and independent non-executive director Ms. Liew Meiqi. – Tenure: three-year terms, subject to rotation. – Annual fees: HK$240,000 for Mr. Lee; HK$120,000 for Ms. Liew.
3. Auditor • BDO Limited is proposed for re-appointment. Audit fees for FY 2025/26 were HK$1.10 million; a similar level is expected for FY 2026/27.
4. Administrative Details • Shareholders’ register will be closed from 25 to 28 August 2026 (both days inclusive). • Proxy forms must be lodged with Union Registrars Limited no later than 48 hours before the meeting.
Directors state they have no immediate plans to exercise the proposed mandates and confirm that public float will be maintained if the buy-back authority is used. All AGM resolutions will be voted on by poll.
