China Overseas Property Holdings Limited (stock code: 2669) announced that effective February 1, 2026, Mr. Tsoi Wing Sing, aged 63, will be appointed as an independent non-executive director, the chairman of the remuneration committee, and a member of the audit committee, the nomination committee, and the sustainability steering committee.

According to the announcement, Mr. Tsoi holds an Honorary Doctorate degree in Business Administration from California International University. He currently serves as a controlling shareholder, an executive director, and the chairman of Star Shine Holdings Group Limited (stock code: 1440), as well as an independent non-executive director of Hisense Home Appliances Group Co., Ltd. (stock codes: 921 and 000921). He also holds positions in several property-related businesses.

Mr. Tsoi entered into a letter of appointment with the company under which he will receive annual remuneration of HK$400,000, subject to retirement by rotation and re-election at the company’s annual general meetings. His appointment helps China Overseas Property Holdings Limited re-comply with the relevant requirements under Rules 3.10(1), 3.10A, 3.21, 3.25, and 3.27A of the Listing Rules, following the passing of a previous independent non-executive director in December 2025.

The board has extended its warm welcome to Mr. Tsoi and confirms that there is no additional information to disclose under the Listing Rules regarding his appointment.
