CHINAENERGY-NEW (00228) and the offeror, Jia Ying Limited, jointly announced that as of 4:00 PM on Tuesday, December 16, 2025, the rights issue was oversubscribed by approximately 0.78%. Following the completion of the rights issue and subject to final allocation, the offeror and its concert parties will collectively hold approximately 241.6 million shares, representing about 52.97% of the company's total issued share capital after the issuance of approximately 152 million rights issue shares. Consequently, the offeror is required to make a mandatory unconditional cash offer under Rules 26.1 and 13 of the Takeovers Code for all shares not already owned or to be acquired by the offeror and its concert parties.
