LifeTech Scientific applies for HKEX waiver to extend deadline for appointing new INED

LifeTech Scientific Corporation reported that it has yet to fill the board vacancy created by the 26 January 2026 resignation of independent non-executive director (INED) Mr. Wang Wansong. As a result, the Company remains non-compliant with Hong Kong Listing Rules 3.10(1), 3.21 and 3.25, which prescribe minimum INED representation on the Board, Audit Committee, Remuneration Committee and Nomination Committee.

Under Listing Rule 3.11, LifeTech Scientific was required to restore full compliance within three months—by 26 April 2026 (the “Grace Period”). Despite an extensive candidate search via directors’ and senior managements’ professional networks, the Group has not secured a suitable appointment. Consequently, it has applied to the Stock Exchange of Hong Kong for a waiver to extend the Grace Period, covering Listing Rules 3.10(1), 3.11, 3.21, 3.23, 3.25, 3.27, 3.27A and 3.27C.

The Company stated it will continue using “best endeavours” to identify and appoint a qualified INED as soon as practicable and will release further announcements in accordance with the Listing Rules.

As at 24 April 2026, the Board comprised eight members: five executive directors (Mr. Xie Yuehui, Mr. Liu Jianxiong, Ms. Wu Liping, Mr. Fang Yu and Ms. Feng Xiaoling), one non-executive director (Mr. Jiang Feng) and two INEDs (Mr. Zhou Luming and Ms. Chen Dongxia).
