Yum China to Acquire Full Ownership of Pizza Hut Brand in Mainland China for $1.2 Billion

In a significant strategic move, Yum China (09987) has entered into an agreement to purchase the complete brand ownership of Pizza Hut in mainland China.

The company, acting as the buyer, has signed a definitive agreement with Yum! Brands, Inc. as the seller. The deal involves Yum China acquiring all issued and outstanding equity interests in the target company, Willow Glade Investments, LLC, for a cash consideration of $1.2 billion.

Currently, Yum China operates the Pizza Hut business in mainland China under an exclusive master franchise agreement with a Yum! Brands subsidiary. Upon completion of this transaction, Yum China will gain full ownership of the Pizza Hut brand in the region. This transition will eliminate the requirement for Yum China to pay ongoing franchise royalties to Yum! Brands.

Pizza Hut is recognized as the largest casual dining brand in China and continues to capture substantial growth opportunities in the market. In 2025, the Pizza Hut division reported revenue of $2.3 billion and an operating profit of $183 million. Performance has remained strong, with the brand achieving same-store transaction growth for 13 consecutive quarters through Q1 2026, alongside improvements in restaurant margin and operating profit for eight straight quarters.

With a network of 4,375 restaurants across more than 1,100 towns and cities, Yum China has outlined ambitious plans for Pizza Hut's expansion. The strategy, previously detailed at an investor day in November 2025, targets growing the store count to over 6,000 by 2028. Furthermore, the company aims to double the brand's operating profit by 2029 compared to 2024 levels.

This evolution from the exclusive franchisee to the outright owner of the Pizza Hut brand in mainland China represents a transformative milestone for Yum China. It underscores the company's deep confidence in and long-term commitment to the Chinese market.

Becoming the brand owner is expected to grant Yum China greater strategic flexibility to drive innovation across menus, store formats, new modules, and operational management. Additionally, the removal of franchise fee payments is projected to improve unit economics and lower the barriers to opening new restaurants. These factors are anticipated to support enhanced profitability, accelerated growth, and the reinforcement of Pizza Hut's market leadership position in China.
