MoneyMax Financial Services proposes 1-for-3 bonus share issue

MoneyMax Financial Services Ltd. said on Sep, 8 2026 that it plans to undertake a bonus issue of up to 318.48 million new ordinary shares, on the basis of one bonus share for every three existing shares held by shareholders on a record date to be announced later. Fractional entitlements will be disregarded.

Following the issue, the company’s enlarged share capital could rise to about 1.27 billion shares, from 955.43 million currently, assuming no other changes to its share base before the record date. The bonus shares will be allotted fully paid at no cost to shareholders and will rank pari passu with existing shares, except they will not be entitled to distributions declared before their allotment.

The shares will be issued under the mandate granted at the company’s Apr, 28 2026 annual general meeting, which allows up to 468.75 million new shares to be issued on a pro-rata basis. MoneyMax said it has not utilised any part of that mandate to date.

Listing and quotation of the bonus shares on the Singapore Exchange Mainboard are subject to approval from the exchange. The company noted that, based on the lowest daily weighted average price of SGD 0.7343 in the month before Sep, 8 2026, the theoretical ex-bonus price would be about SGD 0.5507, above the SGD 0.50 minimum threshold set by the exchange.

MoneyMax said the bonus issue aims to expand its share capital base in line with the group’s growth, reward existing investors and improve trading liquidity. No director or substantial shareholder has any interest in the proposal beyond their existing shareholdings.

The company cautioned investors that the bonus issue remains subject to regulatory approvals and advised shareholders to exercise care when trading the shares.
