Beijing Urban Construction Design & Development Group Co., Limited (1599) announced that its board of directors approved a resolution on 30 October 2025 to propose amendments to the company’s articles of association. The objective is to align with updated regulations under the new Company Law of the People’s Republic of China and to improve corporate governance.

According to the announcement, the proposal focuses on refining definitions of directors’ responsibilities, clarifying shareholders’ rights, and adjusting references to certain roles and committees within the organization, including the replacement of the “supervisory board” with an “audit and risk committee” in multiple articles. Additional changes address updates to governing authorities’ titles, business scope references, and other corporate governance structures.

The proposed amendments require approval by way of special resolution at a forthcoming general meeting. Before the resolution is passed, the existing articles of association remain in force. Once approved, the updated version will take effect on the date of passing. The company intends to distribute a circular and meeting notice with full details in due course.
