A fintech company with close ties to the Trump family-backed cryptocurrency project World Liberty Financial, AI Financial, has announced the sale of its Canadian subsidiary to PrimeDelta, a New York-based financial platform. This transaction follows the termination of acquisition talks by another fintech firm, Perpetuals.com, just weeks earlier.

According to a regulatory filing with the U.S. Securities and Exchange Commission (SEC), AI Financial will receive a secured promissory note valued at $12 million, along with approximately 11.6 million shares of PrimeDelta stock, in exchange for its subsidiary, ALT5 Sigma Canada. Under the agreement, $1 million of the note is due next week, with the remaining balance to be paid in installments. The filing did not disclose the specific reasons for the deal.

PrimeDelta, the acquiring entity, is a financial platform specializing in the tokenization of securities. Reports indicate that AI Financial, formerly known as ALT5 Sigma, entered into a partnership with World Liberty Financial in August 2025. Through this deal, the company raised $750 million via a new share issuance, using $717 million to purchase tokens from World Liberty Financial. Based on the distribution arrangement between the Trump family and World Liberty Financial, this massive transaction ultimately funneled over $500 million to the Trump family.

Since the signing of that agreement, AI Financial's stock price has plummeted from over $9 to approximately 44 cents, resulting in a total market capitalization of roughly $61 million. Additionally, historical regulatory filings reveal that AI Financial and PrimeDelta were previously involved in a legal dispute. Last year, AI Financial sued PrimeDelta, alleging it conspired with a former consultant to misappropriate company data for competitive purposes. The parties reached a settlement in December of last year, with neither admitting any legal wrongdoing.
