Man Wah Holdings Limited has scheduled its annual general meeting for 3 July 2026 at 3:00 p.m. in Hong Kong. Shareholders will vote on nine ordinary resolutions covering dividend distribution, board composition, auditor appointment and capital management authorities.
Key resolutions: 1. Financial statements and reports: Adoption of the audited consolidated financial statements for the year ended 31 March 2026 and the accompanying directors’ and auditors’ reports.
2. Dividend: Declaration of a final dividend of HK$0.09 per share for FY 2025/26, subject to shareholder approval at the meeting.
3–5. Board composition: • Re-election of Executive Chairman Mr. Wong Man Li and Executive Director Ms. Hui Wai Hing, with remuneration to be set by the board. • Appointment of Mr. Chan Hak Kan as an independent non-executive director, with remuneration likewise to be determined by the board.
6. Auditor: Re-appointment of Ernst & Young as external auditor for the ensuing year and authorisation for the board to fix its remuneration.
7–9. Capital management authorities: • General mandate allowing directors to allot, issue and deal with new shares up to 20% of the company’s issued share capital as of the approval date. • Share repurchase mandate of up to 10% of issued shares. • Extension of the share-issuance mandate by the number of shares repurchased under the preceding mandate, representing a further 10% of issued capital.
Shareholders wishing to vote by proxy must lodge the completed form with Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Attendance in person will automatically revoke any previously submitted proxy appointment.
