Byte Metaverse Holdings Limited has issued a notice convening its 2026 Annual General Meeting (AGM) for 10:30 a.m. on Thursday, 12 November 2026, at the company’s Shenzhen headquarters (Room 318, Unit 3, Building 1, Dabaihui Life and Health Industrial Park). Key agenda items span corporate governance, capital management authorities and a strategic rebranding.

Key AGM Proposals 1. Financial Statements: Shareholders will vote to receive the audited consolidated results and accompanying reports for the fiscal year ended 30 June 2026.

2. Board Composition: • Executive Directors up for re-election – Mr Yu Decai and Mr Tian Jia. • Independent Non-executive Directors up for re-election – Mr Ng Der Sian and Mr Tan Chenhui. • The Board seeks authority to determine directors’ remuneration.

3. Auditor: Forvis Mazars CPA Limited is nominated for re-appointment, with the Board authorised to fix its fees.

4. Share Repurchase Mandate: A proposed general mandate would allow the Board to repurchase up to 10 % of the company’s issued share capital (excluding any treasury shares) during the mandate period.

5. Share Issuance Mandate: Directors seek authority to allot and issue shares—again up to 20 % of issued capital—excluding rights issues, share awards, option exercises and scrip dividends. An additional resolution extends this mandate by adding the number of shares repurchased under the 10 % buy-back authority, effectively raising the potential issuance ceiling by another 10 %.

6. Corporate Rebranding (Special Resolutions): • Subject to Cayman regulatory approval, the company proposes to change its English name from “Byte Metaverse Holdings Limited” to “Mekong Supercompute Holdings Limited,” discontinuing the current Chinese name. • Adoption of a new amended and restated Memorandum and Articles of Association aligned with the new name, pending registration in the Cayman Islands and Hong Kong.

Timetable and Voting Logistics • Register of Members closure: Monday, 9 November 2026 to Thursday, 12 November 2026 (both dates inclusive). • Share transfer deadline for voting eligibility: 4:30 p.m., Friday, 6 November 2026. • Record date: Thursday, 12 November 2026. • Shareholders may appoint multiple proxies; all resolutions will be decided by poll.

The notice is signed by Chairman and Executive Director Mr Yu Decai and dated 30 September 2026. The board currently comprises two Executive Directors, one Non-executive Director and three Independent Non-executive Directors.
