Qfin Holdings, Inc. (abbreviated “QFIN”) has issued its Notice of Annual General Meeting (AGM), confirming that shareholders will convene on 30 June 2026 at 9:30 a.m. (Beijing time) at the company’s Shanghai headquarters, Building 1, No. 98 Qingyijiang Road, Putuo District.
Key agenda • Auditor re-appointment: Shareholders will vote on an ordinary resolution to re-appoint Deloitte Touche Tohmatsu and Deloitte Touche Tohmatsu Certified Public Accountants LLP as the Company’s external auditors until the conclusion of the next AGM, with the Board authorized to determine their remuneration for the 2026 financial year.
Record dates • Shareholders holding Class A ordinary shares must be on the register by close of business 27 May 2026 (Hong Kong time) to be eligible to attend and vote. • Holders of American depositary shares (ADSs) must be recorded by close of business 27 May 2026 (New York time) and submit voting instructions by the deadline specified in the ADS voting card.
Proxy arrangements • Shareholders unable to attend in person may submit proxy forms to Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. • ADS holders should deliver voting instructions to The Bank of New York Mellon within the timeframe stated on their voting instruction card.
Board composition As of 12 May 2026, the Board comprises three Directors—Haisheng Wu (Chief Executive Officer), Alex Zuoli Xu (Chief Financial Officer) and Dan Zhao—and six Independent Directors: Gang Xiao, Andrew Y Yan, Fan Zhao, Eric Xiaohuan Chen, Xiangge Liu and Jiao Jiao.
