BONNY HLDG: Independent Shareholders Green-Light Disposal of Hongkong Bonny and Intra-Group Lease at 26 May EGM

Bonny International Holding Limited (BONNY HLDG) announced that all resolutions tabled at the Extraordinary General Meeting (EGM) on 26 May 2026 were passed by poll, clearing the way for the disposal of Hongkong Bonny Limited and approving a new lease arrangement within the group.

The EGM covered two ordinary resolutions: 1) Ratification of the Share Purchase Agreement (SPA) dated 10 April 2026 for the disposal of the entire issued shares of Hongkong Bonny Limited. 2) Approval of a lease agreement between Zhejiang Bonny and Yiwu Bonny concerning the specified leased area.

Voting structure and outcome • Total issued shares: 1.47 billion. • Shares held by Chairman Mr. Jin Guojun and associates: 803.16 million (54.59%), all of which abstained as required. • Independent Shareholders’ voting pool: 667.97 million shares (45.41%). • Votes cast: 40.52 million shares, representing approximately 6.06% of the Independent Shareholders’ pool. • Support level: 100% in favour for each resolution; zero votes against.

Corporate governance notes • All directors attended the meeting in person or via telecommunication. • Tricor Investor Services Limited acted as scrutineer for vote counting. • Passage required a simple majority; each resolution comfortably exceeded this threshold.

Transaction highlights • Disposal of Hongkong Bonny Limited enables the company to divest its entire interest in the subsidiary, in line with the SPA signed on 10 April 2026. • The lease agreement formalises intra-group tenancy terms between Zhejiang Bonny and Yiwu Bonny, consolidating operational arrangements.

The approved mandates also authorise any one director to execute all documents and actions necessary to implement both the SPA and the lease agreement.
