Kafelaku Coffee Plans Share Placement at Discount, Aiming to Raise HK$20.9 Million

Kafelaku Coffee Holdings Limited (HKEX: 01869) has entered into a placement agreement, according to a company announcement.

The agreement, dated June 16, 2026, is with a placing agent and involves the conditional placement of up to 282 million new shares.

The shares will be offered to a minimum of six placees, who are independent third parties including individuals, corporate entities, institutional investors, or other professional investors.

The placement price is set at HK$0.076 per share.

Assuming no change in the company's issued share capital before completion, the maximum number of placement shares represents approximately 20.0% of the current issued share capital and about 16.7% of the enlarged share capital post-placement.

The placement price of HK$0.076 represents a discount of roughly 16.5% compared to the closing price of HK$0.091 per share on the date the agreement was signed.

It also represents a discount of approximately 19.7% against the average closing price of HK$0.0946 per share over the five trading days immediately preceding the agreement date.

Assuming all placement shares are successfully allotted, the gross proceeds from the placement are estimated to be HK$21.4 million.

After deducting placing commissions, related expenses, and professional fees, the net proceeds are expected to be approximately HK$20.9 million.

The company intends to use the net proceeds for two primary purposes: to improve its financial position by reducing liabilities and to support the group's business operations and general working capital requirements.

The new shares will be issued under a general mandate granted to the company's board.
