SMIT AGM Clears All 11 Resolutions, Confirms HK$0.01 Final Dividend and Renews Share Mandates

SMIT announced that shareholders at the 29 May 2026 annual general meeting unanimously approved all 11 ordinary resolutions by poll. A total of 228.37 million votes—representing approximately 70.31% of the 324.93 million shares entitled to vote—were cast in favour, with zero votes against or abstentions.

The meeting adopted the 2025 audited financial statements and endorsed a final dividend of HK$0.01 per share for the financial year ended 31 December 2025.

Governance matters received full support: • Non-executive directors Mr. Kwan Allan Chung-yuen and Mr. Cai Jing were re-elected. • Independent non-executive directors Mr. Woo Kar Tung, Raymond and Mr. Jiang Chunqian were re-elected. • The Board was authorised to determine directors’ remuneration.

Operational authorities were also renewed: • PricewaterhouseCoopers was re-appointed auditor, with the Board authorised to set its fees. • Directors received a general mandate to issue new shares and another to repurchase shares. • The share-issue mandate can be extended by the number of shares repurchased under the buy-back mandate.

Computershare Hong Kong Investor Services acted as scrutineer, and all directors attended the meeting either in person or via electronic means.
