EXTRAWELL PHAR (00858) announced that on March 27, 2026, the contracting parties entered into a non-legally binding memorandum of understanding. According to the memorandum, the company intends to sell all of its convertible bonds to the potential buyer, Marvel Nice Limited, and/or transfer all of its rights and interests under the Fourth Deed of Amendment to the potential buyer. The subject matter of the transaction comprises (i) the convertible bonds issued by Xingtai Chain, constituted by the third amended and restated note dated July 12, 2023, with a total principal amount of HK$715 million. This includes (a) all accrued interest; (b) all amounts due and receivable; and (c) all attached rights to convert the bonds into fully paid ordinary shares of Xingtai Chain; and (ii) all of the company's rights and interests under the Fourth Deed of Amendment. The transaction is subject to certain conditions, including approvals from the Stock Exchange and the respective shareholders of the company and Xingtai Chain.
