TENFU AGM Approves FY2025 Financials and HK$0.09 Final Dividend; Renews Share Issuance and Buy-back Mandates

Tenfu (Cayman) Holdings Company Limited (TENFU) announced that all 10 ordinary resolutions proposed at its Annual General Meeting on 11 May 2026 were passed by poll.

The meeting adopted the audited consolidated financial statements for the year ended 31 December 2025 and endorsed a final cash dividend of HK$0.09 (approximately RMB0.08) per ordinary share.

Shareholders re-elected executive director Mr Lee Chia Ling and independent non-executive directors Mr Lo Wah Wai and Mr Lee Kwan Hung, Eddie. The Board was authorised to determine directors’ remuneration. PricewaterhouseCoopers was re-appointed as auditor for the financial year ending 31 December 2026, with its fees to be set by the Board.

The AGM granted a general mandate allowing directors to: 1. Issue, allot or transfer shares up to 20% of the Company’s issued share capital (excluding treasury shares, if any). 2. Repurchase shares up to 10% of issued share capital. 3. Extend the issuance mandate by the number of shares repurchased under the buy-back mandate.

Voting participation reached 814.60 million shares. Support for each resolution ranged from 99.95% to 100.00% of votes cast. Computershare Hong Kong Investor Services Limited acted as scrutineer.

As of the AGM date, TENFU had 1.08 billion issued shares, of which 145,000 shares had been repurchased but not yet cancelled. No treasury shares were held, and there were no voting restrictions or compulsory abstentions reported.
