Yuexiu Services Group Limited announced that its indirectly wholly-owned unit, Guangzhou Yuexiu Yicheng Business Operation Management Co., Ltd. (“Yuexiu Yicheng”), has signed a 66-month lease with Xi’an Tianyue Aviation Development Co., Ltd. (“Xi’an Tianyue”) covering the 6th to 11th floors of Xi’an International Commerce Center.
Key transaction terms • Lease term: 1 September 2026 to 29 February 2032 (66 months). • GFA: 16,135.92 sq.m., designated for office use. • Rental Payment: RMB1.13 million (incl. VAT) per month after a rent-free period ending 28 February 2027, totalling RMB67.77 million over the initial term. • Security deposit: RMB4.55 million. • Service Payment (management fee): RMB24.0 per sq.m. per month (incl. VAT).
Accounting impact Under HKFRS 16, the Rental Payment will be capitalised as a right-of-use asset estimated at RMB85.42 million, reflecting the initial lease term plus the first three-year renewal option. The Service Payment will be expensed as incurred.
Annual caps for continuing connected transaction Management-fee ceilings payable to Xi’an Tianyue are set at: • RMB1.55 million for 1 Sep – 31 Dec 2026; • RMB4.65 million per financial year from 2027 to 2031; • RMB0.78 million for 1 Jan – 29 Feb 2032.
Connected transaction classification Xi’an Tianyue is 49.0% owned by Yuexiu Property, the controlling shareholder of Yuexiu Services; the lease therefore constitutes (i) a connected transaction for the acquisition of the right-of-use asset and (ii) a continuing connected transaction for the management fees. Each of the applicable percentage ratios is above 0.1% but below 5%, triggering announcement and annual review requirements only.
Strategic rationale The leased space will be sublet to strategic tenants, enabling Yuexiu Services to bundle property management, renovation, facility management and other value-added services, thereby diversifying revenue streams and leveraging its expertise in integrated urban operations.
Internal controls The group’s finance, operations and audit teams will monitor payments, market benchmarks and compliance with Listing Rules, while independent non-executive directors and external auditors will conduct annual reviews.
Board approval All directors approved the transaction except one non-executive and one executive director, who abstained due to positions at Yuexiu Property.
