Wenye Group (01802) announced that every resolution tabled at its 26 June 2026 annual general meeting (AGM) was approved by shareholders, each receiving 100% of votes cast.
A total of 73.55 million shares—representing 8.84% of the company’s 831.60 million issued shares—were voted. Key outcomes include:
• Financial Statements Adopted: Shareholders endorsed the audited consolidated results for the financial year ended 31 December 2025.
• Board Composition Unchanged: Executive director Kong Guojing, non-executive directors Mak Ho Fai and Jia Yuanyuan, and independent non-executive director Ma Kin Ling were all re-elected. The board also received authority to determine directors’ remuneration.
• Capital Flexibility: Directors obtained a fresh 20% general mandate to issue new shares and a 10% mandate to repurchase shares, with the repurchase shares allowed to be added back to the issuance mandate.
• Auditor Re-appointed: Beijing Xinghua Caplegend CPA Limited will continue as independent auditor until the next AGM.
Attendance details show all executive directors and most non-executive and independent non-executive directors participated, either in person or via electronic means.
Trading in Wenye Group shares has been suspended since 5 December 2025 and will remain halted pending fulfillment of the Hong Kong Stock Exchange’s resumption guidance. The company urged shareholders and prospective investors to exercise caution when dealing in its securities.
