CHINA ENV RES (01130) announced that on April 15, 2026, the company and 360 Digital Security Technology Group Co., Ltd. (collectively referred to as the contracting parties) entered into a non-legally binding memorandum of understanding concerning potential cooperation in artificial intelligence (AI) education. This memorandum is subject to the terms and conditions of a formal, legally binding agreement to be separately executed. Pursuant to the memorandum, the contracting parties have agreed to engage in strategic collaboration in the following areas:
(i) Leveraging the company management's accumulated strengths in educational scenarios, industry knowledge bases, and operational experience, combined with 360 Digital Security's technical expertise in AI infrastructure, agent development platforms, and computing resource management, the parties will jointly promote the implementation of AI applications in the youth education sector. This will cover application scenarios such as training institutions, youth centers, and primary and secondary schools. 360 Digital Security will provide an agent development platform and related technical support, including training and knowledge-sharing activities, tailored to the company's needs to enhance its autonomous capability in building AI applications.
(ii) Building on the initial cooperation, the parties will jointly explore the feasibility of integrating the company's educational content advantages with 360 Digital Security's AI technological capabilities. The parties will strive to establish comprehensive "AI + Youth Education" solutions that can be shared broadly across the industry. These solutions include, but are not limited to, applications for teaching assistance, administrative management, market enrollment, and student growth assessment.
(iii) The contracting parties agree to prioritize integration projects with designated education service providers within the company's network as pilot projects for developing benchmark models in the "AI + Youth Education" field. Subject to the parties' brand promotion guidelines, these benchmark projects may be jointly promoted to enhance brand influence and strengthen industry recognition.
(iv) The company will utilize its channel resources across the national network of youth centers, primary and secondary schools, and educational training institutions. Simultaneously, 360 Digital Security will leverage its channel advantages in the corporate market. The parties may jointly explore mechanisms for market expansion through channel collaboration.
The memorandum of understanding takes effect from the date of signing, is valid for a term of three years, and may be extended upon mutual agreement by the contracting parties. The collaboration with 360 Digital Security, a leading Chinese internet and AI technology enterprise, represents a strategic move by the Group to expand its business footprint into the growing "AI + Youth Education" market. Through its operational network and resources in curriculum development, teacher training, operational management, and educational channels, the company's management has established a solid foundation in the youth education sector, thereby accumulating substantial expertise and an educational network. Building on this foundation, the Group intends to integrate 360 Digital Security's advanced AI technology with these educational capabilities.
The cooperation is expected to accelerate market adoption of scalable, innovative AI solutions for youth education, create value for educational training institutions, and support the development of high-quality teaching and learning models. This partnership presents the Group with an opportunity to play a key role in building a comprehensive, AI-driven ecosystem for youth education.
