Ping An Healthcare and Technology Company Limited (平安健康醫療科技有限公司) released the Terms of Reference for its newly established Sustainable Development Committee. The Committee is authorized by the Board of Directors to oversee environmental, social, and governance (ESG) responsibilities, aiming to enhance corporate governance, promote social harmony, and achieve coordinated sustainable development.

The Terms of Reference detail the composition requirements, including a minimum of three members with at least one independent non-executive director. The chairman is elected by more than half of the members, and the term of office aligns with that of the Board. The Committee is supported by a designated secretary, typically the Company Secretary, and collaborates with the Board Office to coordinate its routine meetings and activities.

The Committee’s main duties include formulating and reviewing ESG strategies and policies, monitoring communication channels with stakeholders, supervising the Group’s sustainable development performance, and reviewing annual sustainable development reports to ensure adherence to relevant regulatory requirements. The Committee meets at least twice a year, has authority to seek external professional advice when necessary, and reports to the Board through written resolutions. The Terms of Reference become effective upon approval by the Board and are published on the Company’s website and that of the Stock Exchange for public reference.
