TOPSTANDARDCORP (08510) announced on December 5, 2025, that the company has entered into a subscription agreement with Focus Dynamic Group Limited. Under the agreement, the subscriber has conditionally agreed to subscribe, and the company has conditionally agreed to allot and issue a total of 39.81 million subscription shares at a price of HK$0.10 per share.

The subscription shares represent approximately 20.0% of the company's issued share capital as of the announcement date. The subscription price of HK$0.10 per share represents a discount of approximately 15.25% to the closing price of HK$0.118 per share on the Hong Kong Stock Exchange on the subscription agreement date, and a discount of about 19.35% to the average closing price of HK$0.124 per share over the five trading days preceding the agreement date.

The gross proceeds from the subscription will amount to HK$3.98 million, which the company intends to use for the group's general working capital purposes.
