ZMJ Group Company Limited (stock code: 00564) announced that its board of directors received a resignation report on 20 October 2025 from Independent Non-Executive Director (INED), Mr. Cheng Jinglei, who has served since 21 October 2019. In accordance with regulations issued by the China Securities Regulatory Commission regarding the maximum consecutive term of six years for an INED, Mr. Cheng’s resignation took effect immediately.

Mr. Cheng’s departure does not reduce the number of the Company’s board members or independent directors below the statutory minimum. However, it results in a temporary noncompliance of the Company’s nomination committee composition with Rule 3.27A of the Listing Rules, as the majority of this committee must be INEDs. The Company plans to address this within three months by convening a board meeting to appoint a new committee member.

Mr. Cheng confirmed he has no disagreements with the board and that there are no other matters requiring the attention of shareholders. The board expressed gratitude for his contributions to the Company’s development over his tenure.
