Global Mastermind Holdings Limited (Stock Code: 8063) disclosed that its independent non-executive director, Mr. Fung Wai Ching, resigned effective 4 November 2025 due to other business commitments. Mr. Fung also stepped down as chairman of the nomination committee and as a member of the audit, remuneration, and corporate governance committees.

Subsequently, the board announced that executive director Mr. Ng Ngam has been appointed as a member of the remuneration, nomination, and corporate governance committees. With Mr. Fung’s resignation, however, the company no longer meets certain GEM Listing Rules, including the requirement to maintain at least three independent non-executive directors and to ensure that committees are chaired or composed appropriately.

The board indicated it aims to resolve these vacancies within three months to restore compliance. Trading in the company’s shares remains suspended from 9:00 a.m. on 19 February 2025 until further notice.
